Media Release Agreement

1. Exclusive Grant of Rights

By submitting your reaction video ("Content") to Dedicated Song, you hereby grant 404 Studios LLC and its affiliates, successors, assigns, licensees, and designees (collectively, "Dedicated Song") an exclusive, perpetual, irrevocable, royalty-free, worldwide, fully transferable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the Content
• Use the Content for any commercial purpose, including paid advertising on any platform (Meta, Google, TikTok, YouTube, etc.)
• Sell, license, sublicense, assign, and transfer the Content to any third party without restriction
• Edit or modify the Content for any purpose without your approval
• Use your name, image, likeness, and voice as contained in the Content
• Monetize and profit from the Content in any way

Exclusivity: By granting exclusive rights, you agree not to grant, license, sell, or transfer the Content or similar rights to any other person or entity.

2. Waiver of Moral Rights

To the fullest extent permitted by law, you irrevocably waive all "moral rights" in the Content, including:

• The right to be identified or credited as the creator (right of attribution)
• The right to object to any modification, distortion, or treatment of the Content (right of integrity)
• Any right to approve or disapprove of any use of the Content

3. Representations and Warranties

By submitting Content, you represent and warrant that:

• You are at least 18 years of age; OR if you are under 18, you confirm that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf
• You have the full right and authority to grant the exclusive rights contained herein
• The Content is original and does not infringe upon any third-party rights
• All individuals appearing in the Content have consented to such appearance and commercial use in perpetuity
• If minors appear in the Content, you have obtained parental or guardian consent for their appearance and commercial use
• The Content does not contain any defamatory, obscene, or unlawful material
• You are not bound by any agreement that would prevent you from granting these exclusive rights

4. Third-Party Consent

If any individuals other than yourself appear in the Content, you represent that you have obtained their express consent for: (a) being recorded; (b) having their likeness used commercially; and (c) all uses described in this Agreement. You are solely responsible for obtaining and maintaining records of such consents.

5. Irrevocability

This Agreement cannot be revoked, terminated, or withdrawn. You waive any right to request removal, deletion, or cessation of use of the Content. The rights granted herein survive in perpetuity regardless of any future request by you. Dedicated Song has no obligation to remove or stop using the Content for any reason.

6. Release and Waiver

You hereby release Dedicated Song from any and all claims, demands, or causes of action that you may have arising from or related to the use of the Content, including but not limited to claims for defamation, invasion of privacy, right of publicity, or copyright infringement.

7. Compensation

You acknowledge that submission of Content does not guarantee selection for the $50 Amazon gift card incentive. Selection is at the sole discretion of Dedicated Song. If selected, the gift card will be sent to the email address associated with your order and constitutes full and complete compensation for all rights granted. No royalties, residuals, or additional payments will be provided for any use of the Content.

8. Privacy

We will handle your personal information in accordance with our Privacy Policy. By submitting Content, you consent to the public display of the Content, which may include your image and voice.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dedicated Song from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: your breach of this Agreement; any claim by individuals appearing in the Content; any third-party intellectual property claims; any misrepresentation of your age or authority; or any claim arising from the Content.

10. Governing Law

This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association. Class actions are not permitted, and you waive any right to a jury trial.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Dedicated Song regarding the submission and use of Content and supersedes any prior agreements or understandings.
